Professional Use Only Products
These Provider Terms and Conditions (“Terms”) govern the purchase and use of products supplied by Blue East Research. By purchasing any Products, the Provider agrees to be bound by these Terms.
1. Definitions
1.1 “Adverse Event.” Any undesirable experience associated with the use of a Product, whether or not the event is believed to be related to the Product.
1.2 “Certificate of Analysis” or “COA.” A document specifying the identity, purity, potency, and other applicable quality attributes of a particular Product lot.
1.3 “Manufacturing Defect.” A defect that causes a Product to fail to conform to its applicable COA specifications at the time of shipment.
1.4 “Products.” The peptides, compounds, and other items manufactured, supplied, or distributed by Blue East Research.
1.5 “Provider.” A licensed healthcare professional or authorized representative purchasing Products from Blue East Research.
2. Blue East Research’s Role as Manufacturer and Supplier Only
2.1 Manufacturer and Supplier Status. Blue East Research acts solely as a manufacturer and supplier. Blue East Research does not practice medicine, provide clinical services, or establish or maintain any provider-patient relationship.
2.2 No Clinical Involvement. Blue East Research expressly disclaims any involvement in or responsibility for:
a. Selecting a Product for any patient, condition, or indication;
b. Determining dosage, administration routes, or treatment protocols;
c. Assessing patient eligibility, contraindications, or risk factors;
d. Monitoring patient outcomes;
e. Obtaining or providing informed consent; or
f. Making any clinical or medical decision.
2.3 No Legal or Regulatory Advice. Blue East Research does not provide legal, medical, or regulatory advice. The Provider is solely responsible for determining whether the purchase, possession, administration, or use of any Product is lawful.
2.4 No Warranty. No statement contained in Product documentation, marketing materials, communications, or other information provided by Blue East Research shall be interpreted as medical advice, clinical guidance, or a treatment recommendation.
3. Eligibility and Provider Representations
3.1 Professional Licensing. The Provider represents and warrants that the Provider holds a current, active, and unrestricted professional license authorizing the purchase and intended use of the Products.
3.2 Scope of Practice. The Provider represents that the purchase and use of Products fall within the Provider’s lawful professional scope of practice and that the Provider possesses the necessary training, education, and competence.
3.3 Compliance With Applicable Laws. The Provider represents that the Provider has reviewed and will comply with all applicable federal, state, and local laws and regulations, including applicable medical-practice acts, pharmacy laws, FDA regulations, informed-consent requirements, and controlled-substance regulations.
3.4 Annual Certification. Upon request, the Provider shall certify annually that the Provider’s professional license remains current, active, and unrestricted.
5.1 Professional Use Only. Products are labeled “For Professional Use Only” and are not FDA-approved for any specific indication.
5.2 No Unauthorized Resale or Distribution. The Provider shall not resell, distribute, transfer, or otherwise provide Products to any third party without the prior written consent of Blue East Research.
5.3 Storage and Handling. The Provider shall store, handle, and maintain Products in accordance with all specifications provided on the Product label and applicable COA.
5.4 Certificates of Analysis. Blue East Research will provide a COA for each Product lot upon request, when available.
6. Ordering and Payment
All orders are subject to acceptance by Blue East Research. Payment is due upon receipt of the applicable invoice unless otherwise agreed to in writing.
All prices are stated in U.S. dollars and are subject to change upon written notice.
7. Limitation of Liability
7.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUE EAST RESEARCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
7.2 BLUE EAST RESEARCH’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO ANY PRODUCT SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
7.3 BLUE EAST RESEARCH DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT FOR THE LIMITED WARRANTY THAT A PRODUCT CONFORMS TO ITS APPLICABLE COA SPECIFICATIONS AT THE TIME OF SHIPMENT.
8. Indemnification
The purchaser agrees to defend, indemnify, and hold harmless Blue East Research and its owners, officers, employees, contractors, affiliates, and agents from and against any claims, liabilities, damages, losses, penalties, judgments, costs, and expenses arising from or relating to:
a. The use, administration, handling, storage, or misuse of Products;
b. The diagnosis or treatment of any patient;
c. The Provider’s violation of these Terms;
d. The Provider’s violation of any applicable law, regulation, or professional standard; or
e. Any claim brought by a patient, customer, regulatory authority, or other third party.
9. Privacy
Blue East Research complies with applicable privacy laws, including the California Consumer Privacy Act and California Privacy Rights Act, where applicable.
11. Term and Termination
These Terms become effective upon the Provider’s first order and remain in effect until terminated.
Either party may terminate the relationship by providing thirty (30) days’ written notice. Blue East Research may terminate the relationship immediately if the Provider violates these Terms or any applicable law or regulation.
Sections 2, 4, 7, 8, and 10 shall survive termination.
12. General Provisions
These Terms constitute the entire agreement between the Purchaser and Blue East Research concerning the purchase and use of Products.
If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The failure of Blue East Research to enforce any provision shall not constitute a waiver of that provision.
The Provider may not assign or transfer any rights or obligations under these Terms without the prior written consent of Blue East Research.
Blue East Research shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, carrier delays, governmental actions, supply-chain disruptions, or other force-majeure events.

Blue East Research may modify these Terms by providing written notice or posting an updated version on its website. Updated Terms will apply as permitted by applicable law.
Provider Acknowledgment
BY PURCHASING PRODUCTS FROM BLUE EAST RESEARCH, THE PROVIDER ACKNOWLEDGES AND AGREES THAT:

THE PRODUCTS ARE FOR PROFESSIONAL USE ONLY AND ARE NOT FDA-APPROVED FOR ANY SPECIFIC INDICATION;

THE PROVIDER IS SOLELY RESPONSIBLE FOR DETERMINING WHETHER THE PURCHASE AND USE OF PRODUCTS ARE LAWFUL;

BLUE EAST RESEARCH DOES NOT PROVIDE CLINICAL, MEDICAL, LEGAL, OR REGULATORY GUIDANCE;

ALL SALES ARE FINAL ONCE SHIPPED; AND

THE PROVIDER HAS READ, UNDERSTANDS, AND AGREES TO BE BOUND BY THESE TERMS.
